1. Agreement to Terms

By accessing or using any products or services provided by Baskd Inc. (“Company,” “we,” “us,” or “our”), including but not limited to Diya and any associated websites, APIs, or trial experiences (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use our Services.

2. Description of Services

Baskd Inc. is an AI research lab that builds and publishes AI-powered products:

• Diya — A local AI runtime that creates AI companions running on your hardware
• Trial Experiences — Web-based demonstrations of our technology

3. AI-Generated Content Disclaimer

Our Services use artificial intelligence models to generate text, voice, and other content. You acknowledge and agree that:

• AI-generated content may be inaccurate, incomplete, biased, or offensive
• AI outputs do not represent the views, opinions, or endorsements of Baskd Inc.
• AI-generated content is not a substitute for professional advice (medical, legal, financial, psychological, or otherwise)
• You should independently verify any information provided by our AI systems before relying on it
• We do not guarantee the accuracy, reliability, or completeness of any AI-generated output

4. User Responsibilities

You agree to:

• Use the Services only for lawful purposes and in compliance with applicable laws
• Not use AI-generated content to deceive, defraud, harass, or harm others
• Not attempt to circumvent safety filters or content moderation systems
• Not use the Services to generate content that exploits, harms, or endangers minors
• Comply with our Acceptable Use Policy
• Be solely responsible for how you use AI-generated content

5. Intellectual Property

The Services, including all software, designs, and documentation, are proprietary to Baskd Inc. and protected by intellectual property laws.

• We do not claim ownership of your inputs (prompts, descriptions)
• We do not claim ownership of AI-generated outputs created through your use
• You may not reverse-engineer, decompile, or create derivative works of our software
• Third-party AI models used within our Services are subject to their respective licenses

6. Trial and Free Services

Trial experiences are provided for evaluation purposes. We reserve the right to limit, modify, or discontinue trial access at any time without notice. Trial sessions may be time-limited and message-limited. No data from trial sessions is guaranteed to be preserved.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED CONTENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASKD INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM: (A) YOUR USE OF OR INABILITY TO USE THE SERVICES; (B) ANY AI-GENERATED CONTENT; (C) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; OR (D) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless Baskd Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you create using or derived from our AI systems.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately.

11. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised “Last updated” date. Your continued use of the Services after changes constitutes acceptance of the updated Terms.
